Responsibilities of BOM

The company's board of directors should guide the company's strategy, supervise the management, and be responsible to the company and shareholders. The operations and arrangements of its corporate governance system should ensure that the board of directors exercises its powers by laws, regulations of the company's articles of association, or resolutions of the shareholders' meeting.

Diversity and operation of the Board of directors

The directors adopt a candidate nomination system, and each term of office is three years. The election of directors shall be conducted by the "Director Election Procedures" unless otherwise stipulated by laws and regulations or the articles of incorporation.

Succession planning of BOM

The company conducts director succession planning through the following methods:
一、The current directors recommend suitable candidates.
二、Candidates for directors recommended by shareholders.
三、The performance evaluation results of the board of directors are used as the reference for nominating directors for re-election.
To strengthen the effectiveness of directors in exercising their functions, the company will keep pace with the times, and arrange annual refresher courses concerning changes in internal and external environmental conditions and development needs of the company at any time to enhance the professional knowledge of directors.
Due to the company's long-term development, the company re-elected directors in advance at the 2021st annual shareholders' meeting on April 28, 2022.
The company's 2020 general meeting of shareholders on April 23, 2020, due to the expiration of the term of office, comprehensive re-election of directors.

Key management succession planning

To meet the needs of the group's business operation and human resource development, the company holds regular meetings to review the planning and cultivation of successor candidates. When planning successor candidates, in addition to considering whether they have excellent professional and management capabilities, their values must be consistent with the company's philosophy, and they must have personality traits such as integrity, steadfastness, innovation, and entrepreneurial spirit. For the training content of management successors, in addition to the internal training of management skills, combined with experience such as job rotation and external transfer to the group company, to comprehensively cultivate the decision-making ability of senior executives. In terms of external training courses, in principle, the management of the company participates every year.
