Corporate Governance Officer

It was approved by the Board of Directors on May 12, 2022 that Vice President Yu-jia Huang would be the head of corporate governance in order to protect the rights of shareholders and to reinforce the function of the Board of Directors.
Vice President Yu-jia Huang is qualified with her position as head of finance in public offering companies for more than three years.

The primary responsibilities of the head of corporate governance:

  1. Matters relating Board of Directors and Shareholders’ meetings.
  2. Prepare the Board of Directors and Shareholders’ meeting minutes.
  3. Help directors with the inauguration and continuing education.
  4. Provide directors with materials needed for them to perform tasks.
  5. Help the directors with compliance.
  6. Others.

111年度業務執行情形如下:

  1. Help independent directors and general directors perform their functions by providing the required materials and arranging continuing education for them.
  2. Help with the procedures, resolutions, and compliance of the Board of Directors meetings and shareholders’ meetings.
  3. Prepare the Board of Directors’ meeting agenda and notify directors of it seven days in advance. Convene the meeting and provide meeting materials. If recusal of interest is required, remind the specific director in advance and complete the meeting minutes within 20 days after the meeting.
  4. Register the date of the shareholders’ meeting in advance as required by law, prepare the notice, the rules of procedure, and the meeting minutes within the regulatory timeframe, and complete change registration after the Articles of Incorporation are revised or after the directors are re-elected.
